Terms & Conditions

1. Business Scope

PVS Imports operates exclusively on a business-to-business (B2B) basis. Goods are supplied solely to registered businesses, including retailers, hospitality operators, food & beverage outlets, and distributors within Malta. All customers must provide a valid VAT number and may be subject to credit approval prior to order acceptance. PVS Imports does not sell directly to private consumers (B2C) under any circumstances.

2. Pricing, VAT & Mandatory Deposit (Pant)

All prices are quoted in EUR unless stated otherwise and are exclusive of VAT unless explicitly agreed in writing. VAT is charged at the applicable Maltese rate at the time of invoicing and may be applied under the reverse charge mechanism where legally permitted for B2B transactions. Prices are subject to change without prior notice until an order is confirmed in writing.

Beverage container deposits (pant) are mandatory under Maltese law and are applied in accordance with the Beverage Container Refund Scheme (BCRS) or any successor scheme. Deposits are charged per eligible container and will always be shown as a separate line item on the invoice.

Deposit amounts are refundable exclusively through the official return scheme upon proper return of empty containers and do not constitute income or revenue for PVS Imports. PVS Imports ensures compliance with applicable deposit scheme obligations up to the point of delivery.

Additional fees, including handling, transport, insurance, or customs charges, may be applied and invoiced separately. Customers are responsible for understanding and fulfilling all VAT, deposit, and regulatory obligations in relation to onward resale.

3. Payment Terms

Unless otherwise agreed in writing, all orders require prepayment in full before processing, release, or dispatch. Payment must be made using approved methods such as bank transfer or other methods agreed with PVS Imports.

Credit terms may be granted only to selected customers following the establishment of an ongoing commercial relationship and are subject to approval by PVS Imports. Any granted credit terms may be amended or withdrawn at any time without prior notice.

Late payments may incur interest charges in accordance with Maltese law, and PVS Imports reserves the right to suspend further deliveries until all outstanding amounts are settled.

4. Orders

Orders are deemed accepted only upon written confirmation by PVS Imports. Customers must provide full order details, including VAT number, company name, full name, and order quantity.

To keep prices competitive, orders are consolidated and placed once a full pallet has been completed. For smaller quantities, the price per unit is higher, as they require additional capacity allocation and increased handling. Small orders (e.g., under 24 cases) are accepted, but dispatch will only occur once the total order reaches at least half a pallet. This ensures lower shipping costs and the freshest products for all customers.

Amendments or cancellations after confirmation may incur additional costs. PVS Imports reserves the right to refuse or cancel any order prior to written confirmation at its sole discretion.

5. Delivery

Delivery times are indicative and may vary due to logistics, customs, or other unforeseen circumstances. The customer is responsible for providing accurate delivery information and ensuring access to the delivery location.

Risk passes to the customer upon delivery, and the customer must inspect goods immediately and report any shortages, damages, or discrepancies within 48 hours.

6. Transfer of Risk & Title

Ownership (title) of goods transfers to the customer only after full payment, including any deposits or additional charges, has been received by PVS Imports. Risk of loss or damage passes to the customer upon delivery at the agreed location.

Risk of loss, damage, or mishandling during transport remains with PVS Imports until delivery to the agreed location is completed.

7. Claims

Any claims relating to shortages, damages, or incorrect deliveries must be submitted in writing within 48 hours of delivery. Claims should include supporting documentation such as photos or other evidence of the issue.

8. Returns

Returns are accepted only with prior written approval. Returned goods must be unopened, unused, and in resaleable condition. Any returns for damaged goods are assessed on a case-by-case basis.

9. Limitation of Liability

PVS Imports shall not be liable for indirect, incidental, or consequential losses, including loss of profit, loss of business, or business interruption. This applies even if PVS Imports has been advised of potential losses.

Total liability shall in all cases be limited to the invoice value of the goods supplied.

10. Product Handling, Deposit & Regulatory Compliance

Products are supplied with original manufacturer packaging and labeling. PVS Imports ensures compliance with applicable Maltese environmental and deposit regulations, including the Beverage Container Refund Scheme (BCRS), up to the point of delivery.

Following delivery, the customer is solely responsible for ensuring that products are stored, handled, marketed, distributed, and resold in compliance with all applicable laws, regulations, consumer protection requirements, and industry standards.

The customer is responsible for proper handling and return of empty beverage containers through the official deposit return scheme and for any regulatory obligations arising from onward sale, distribution, or supply to third parties. PVS Imports shall not be held liable for any fines, penalties, claims, or losses arising from non-compliance by the customer or third parties following delivery. Customers must ensure staff handling the products are trained and follow all safety and regulatory instructions.

11. Force Majeure

PVS Imports shall not be liable for failure or delay caused by events beyond its reasonable control, including but not limited to natural disasters, strikes, transportation disruptions, pandemics, cyber incidents, or governmental actions. Customers acknowledge that such events may affect delivery times, and no liability arises for delays, shortages, or non-performance caused by such events.

13. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of Malta. Any disputes arising from these Terms & Conditions shall be resolved exclusively in the courts of Malta.

14. Acceptance

Placement of an order constitutes full acceptance of these Terms & Conditions. By placing an order, the customer confirms they have read, understood, and accepted these Terms & Conditions in full. PVS Imports reserves the right to amend these Terms & Conditions at any time. The version in force at the time of order confirmation shall apply.

15. Intellectual Property / Trademarks

All trademarks, trade names, and intellectual property rights related to supplied products remain the property of their respective owners. PVS Imports acts solely as an independent reseller unless explicitly agreed in writing. No rights or licenses are granted to the customer except as expressly stated.

16. Severability

If any provision of these Terms & Conditions is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Health & Safety

Customers are responsible for ensuring that products are stored, handled, and transported in accordance with safety guidelines. PVS Imports is not liable for any injury, contamination, or damage resulting from improper handling after delivery.

18. Confidentiality

All commercial, pricing, or customer-specific information shared between PVS Imports and the customer is confidential. The customer agrees not to disclose such information to any third party without prior written consent.

19. Data Protection & GDPR

PVS Imports processes personal and business data in compliance with EU GDPR regulations. Customer data, including VAT numbers, business information, and contact details, will only be used for order processing, billing, and communication related to the commercial relationship.

20. Dispute Resolution

In the event of disputes arising from these Terms & Conditions, both parties agree to first attempt amicable resolution through discussion or mediation prior to initiating legal proceedings.
